Any order or signature of a quote implies the customer's unreserved acceptance of the GTC.
The GTC prevail over the customer's terms and conditions of purchase, unless otherwise agreed in writing.
Description of services
Luceefer offers:
Process audits and automated workflow design;
Development of generative AI and low-code solutions;
Technical assistance, configuration and team training;
Change management support.
Order and quote
A commercial proposal (quote) is sent to the customer, detailing the services, prices and any special conditions.
The order is final once the signed quote has been returned or written confirmation (email) has been received, which implies acceptance of the GTC.
Quotes have a specified period of validity; otherwise, they are valid for one month from the date of issue.
Prices and payment terms
Prices are quoted in euros and, unless otherwise stated, are exempt from VAT (micro-entrepreneur – Article 293 B of the French General Tax Code, where applicable).
The amount and payment schedule are specified in the quote. A deposit may be required at the time of ordering.
Invoices are payable upon receipt or according to the agreed schedule. Payments are made by bank transfer or any other means indicated.
In the event of late payment, penalties may be applied in accordance with legal provisions.
Performance of services
Luceefer undertakes to provide services in accordance with best practice, with an obligation of means.
Performance deadlines are given for information purposes only; a delay does not constitute grounds for cancellation.
The customer undertakes to provide all the information and access necessary for the performance of the services. Any delay or failure to cooperate may extend the deadlines.
Right of withdrawal (consumer customers)
When a service contract is concluded remotely with a consumer, the latter has a withdrawal period of 14 days from the conclusion of the contract.
The customer must notify their decision to withdraw using the standard form (to be provided).
If the customer wishes the service to begin before the end of the withdrawal period, they must expressly authorise this and waive their right of withdrawal. A service that has been fully performed before the expiry of the withdrawal period cannot be refunded.
In the absence of information on this right, the period is extended to 12 months.
For business customers (B2B), there is no right of withdrawal, unless otherwise specified.
Liability
Luceefer shall not be held liable for any indirect damages (loss of profits, data, opportunities).
Luceefer's liability is limited to the amount of the service concerned.
The customer is solely responsible for the data and content provided and for the use of the deliverables.
Intellectual property
The tools, methods, scripts and deliverables created remain the property of Luceefer until full payment has been received.
Unless otherwise specified, a non-exclusive licence is granted to the customer for their internal use.
Any reproduction or transfer to a third party requires the written consent of Luceefer.
Confidentiality
Each party undertakes to keep confidential the information and documents received from the other party in connection with the contract.
Personal data
In order to perform the service and ensure billing, certain personal data of the contact persons may be collected. Their processing complies with the GDPR: defined purpose, limited retention period, rights of access and rectification for the persons concerned. The privacy policy (mentioned in the Legal Notice) describes these processing operations.
Force majeure
The obligations of the parties shall be suspended in the event of a force majeure event rendering performance impossible (strike, breakdown, war, etc.). The parties shall consult each other to agree on the terms of resumption.
Termination
Each party may terminate the service in the event of serious breach by the other party, after formal notice has remained without effect.
Work already performed shall remain payable. In the event of early termination at the initiative of the customer through no fault of Luceefer, the sums paid shall remain due.
Applicable law and disputes
These GTC are governed by French law. Any dispute shall be submitted to the competent courts of Luceefer's registered office after an attempt at mediation or amicable settlement. For consumers, recourse to a consumer mediator is possible.
